1. Introduction

These Terms of Service (“Terms”) apply to your use of the GamingLeagues Discord Bot and the GamingLeagues.xyz website (collectively, the “Services”). The Services are owned and operated by Teamseal Pty Ltd (`"`GamingLeagues`"`, `"`we`"`, `"`our`"` or `"`us`"`). By accessing or using the Services, you accept and agree to be bound by these Terms, our Privacy Policy, and any additional terms that are incorporated into this Agreement. Please read them carefully. If you do not agree to any of these Terms or our Privacy Policy, you are expressly prohibited from using the Services and should immediately cease all such use.

2. Acceptance of Terms

Your access or use of the Services constitute your agreement to the Terms. You acknowledge that you have read and understood the Terms and agree to be bound by them. If you are accessing or using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity and its affiliates to the Terms. In such case, `"`you`"` and `"`your`"` will refer to such entity and its affiliates. If you do not have such authority or if you do not agree to the Terms, you must not accept these Terms and may not access or use the Services. 3. GamingLeagues Services

GamingLeagues provides an e-sports competition Discord bot (the “Services”) to facilitate creating and managing e-sports competitions. Through the Services, the user must submit the considered information to register for an e-sports competition. With successful registration, participants shall be unable to withdraw or modify the registered information by the agreed time for the competition. Furthermore, Services provides users the ability to connect with other players, access announcements, and keep tabs with the competition, which includes detailed data and statistics.

4. User Eligibility

The Services are intended solely for users who are at least 13 years of age or older. By downloading, using, or accessing the Services, you affirm that you are at least 13 years of age or older. If you are under age 13, you may not, under any circumstances or for any reason, use the Services. We may, in our sole discretion, refuse to offer the Services to any person or business and change its eligibility criteria at any time. The Services shall not be used by persons or entities located in countries subject to economic or trade sanctions imposed by the Australia or any governing body. If you do not meet all of these requirements, then you may not use the Services. Additionally, by downloading, accessing, or using the Services, you represent and warrant that you are not: (i) located in a country that is subject to embargo by Australia; (ii) listed on any Australian government list of prohibited or restricted parties; or (iii) engaged in any activities prohibited by applicable law. Any use of the Services is void where prohibited by applicable laws.

5. User Content

You may be able to contribute audio, video, text, images and other content when using the Services (`"`User Content`"`). You retain all rights to your User Content, including any Intellectual Property Rights (defined below) you may have in the User Content. When you submit User Content to the Services, you grant GamingLeagues a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, display, reproduce, and modify the User Content for the purposes of allowing users to view, comment on, and share the User Content within the Services.

6. User Obligations and Prohibited Conduct

You agree that you will comply with these Terms and all applicable local, state, national, and international laws, regulations, and conventions when using the Services. You will not use the Services for any illegal purpose or in any manner that breaches these Terms. You agree to review and comply with any additional rules, guidelines, or policies imposed by any third-party services you access through the Services. You will comply with any applicable laws or regulations that relate to or govern your use of the Services, including laws governing the export, export controls, franchise, anti-bribery, fair competition, advertising, or other applicable statutes, and the privacy and data security laws associated with the collection and use of personal information. You will not use the Services to, among other things: (a) Attempt to access any account that does not belong to you; (b) Interfere with, damage, disable, or disrupt any Services; (c) Collect or store data about other users for any reason; (d) Introduce viruses, malware, or other malicious code; (e) Misrepresent your identity or affiliation with any person or entity; (f) Participate in any fraudulent, deceptive, or illegal activities; (g) Transmit unsolicited emails or “spam”; or (h) Use the Services for any illegal or unauthorized purpose.

7. Data Protection

Taking into account the nature of the Services and the data involved, GamingLeagues has undertaken all reasonable measures to protect personal data from unauthorized access and use. We provide reasonable protection for the privacy of your data, consistent with applicable legislation. You acknowledge and agree that data transferred over the internet or wireless networks is not 100% secure, and that such transfers are done at your own risk. If you have reason to believe that your data is no longer secure, you must immediately notify our Support Team. We may use and share your data with third-party providers to provide the Services to you, including for the purposes of administering or hosting our Services, analytics, or responding to customer service requests. We will only share your data with third-party providers for the purpose of providing the Services and in accordance with our Privacy Policy.

8. Intellectual Property

All right, title, and interest in and to the Services are and will remain the exclusive property of GamingLeagues. Except for the limited access right granted to you in these Terms, no right, title, or interest in or to the Services, the website or its content is transferred to you, and all rights not expressly granted are reserved by GamingLeagues. The Services (including its website, coding, training materials, images, animations, sounds, and musical compositions, trademarks, and trade names) are protected by copyright and other intellectual property laws and by international treaties. GamingLeagues also retains all rights in the domain names associated with the Services. You acknowledge and agree that you shall not at any time have any right, title, or interest in the Services or the goodwill associated therewith other than the limited access rights set forth in these Terms. Upon termination of these Terms, or your account, your right to use any of the Services will cease immediately.

9. Use of Third-Party Services

The Services may provide access to third-party services, such as payment processors or bookmakers, that allow you to engage in pay-to-play e-sports competitions (the “Third-Party Services”). You acknowledge and agree that: (i) the Third-Party Services are not provided by GamingLeagues and are not under our control; (ii) GamingLeagues is not responsible for the availability or performance of any Third-Party Services; and (iii) GamingLeagues is not responsible for any of your claims with respect to the Third-Party Services. You agree to comply with all applicable terms and conditions when using Third-Party Services.

10. Termination of Users

We reserve the right to terminate or suspend your account and access to the Services for any reason, including without limitation if we believe, in our sole and absolute discretion, that you have violated any law or regulation or the Terms. If we suspend or terminate your account, you agree that you will not attempt to re-register with us or use the Services under a different account. In the event of termination or suspension, you will remain liable for all amounts due up to and including the date of termination or suspension. We may also remove and discard any content associated with your account.

11. Amendments to Terms

We may amend these Terms from time to time. The most current version of the Terms can be viewed at any time by visiting this page. We may or may not notify you of any changes via email or other means, in our sole discretion. By continuing to use the Services after any such amended Terms have been made available to you, you accept and agree to be bound by the amended Terms. If you do not agree to any changes to the Terms, you must stop using the Services.

12. Dispute Resolution and Governing Law

If a dispute arises out of or relates to these Terms, or the breach thereof, the parties may seek resolution by mediation in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce, including any application rules which may in each case be in force. The language to be used in the mediation shall be English. The mediation shall take place in Sydney, Australia. All negotiations relating to the mediation shall be confidential and without prejudice to the rights of the parties in any subsequent proceeding. If the parties cannot resolve the dispute through mediation, the dispute shall be settled in accordance with the rules of the International Chamber of Commerce Arbitration Rules, and judgment upon the award rendered may be entered in any court having jurisdiction. The full costs of arbitration shall be borne by the unsuccessful party. These Terms are governed by and shall be construed in accordance with the laws of New South Wales, Australia. All claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, and each party hereby irrevocably waives any and all objections to the venue of any such court and the convenience of such jurisdiction.

13. Disclaimer of Warranties

You understand and agree that your use of the Services is entirely at your own discretion and risk. The Services are provided “as is” and “as available” without warranty of any kind, either express or implied, including, without limitation, any warranties of merchantability, accuracy, reliability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, or system integration. To the maximum extent permitted by law, GamingLeagues expressly disclaims all such warranties. We make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any content, information, software, text, graphics, links, or communications provided on or through the use of the Services or that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We also make no representations or warranties that the Services will be suitable for any particular purpose or that any content will be available or will function without interruption or that any defects will be corrected. In relation to services offered by third parties, GamingLeagues does not provide any warranty or guarantee as to the availability, accuracy, reliability, completeness, or timeliness of such services and assumes no responsibility for any losses or claims arising from the use of such services. The laws of New South Wales, Australia, excluding its conflicts of law rules, govern these Terms and your use of the Services. Your use of the Services may also be subject to other local, state, national, or international laws.
